All orders are subject to acceptance by Kenergy. Prices are quoted in the currency specified in the quotation and are exclusive of applicable taxes, duties, and shipping charges unless otherwise stated.
Payment terms are specified on a per-order basis. Kenergy accepts payment via bank transfer (T/T), letter of credit (L/C), or other mutually agreed methods. Late payments may incur interest charges at the rate specified in the order acknowledgment.
Shipping terms are governed by the Incoterms specified in the order acknowledgment. Delivery dates provided are estimates only and are not guaranteed. Kenergy shall not be liable for any delays caused by force majeure events, including but not limited to natural disasters, acts of government, labor disputes, raw material shortages, or transportation disruptions.
Risk of loss or damage to products passes to the buyer upon delivery to the carrier in accordance with the agreed Incoterms. The buyer is responsible for inspecting goods upon receipt and reporting any damage or discrepancies within the timeframe specified in the order acknowledgment.
Kenergy warrants that its products will conform to the specifications agreed upon in the order acknowledgment and will be free from material defects in workmanship and materials under normal use and service for the warranty period specified in the product documentation or order acknowledgment (typically 12 months from the date of shipment).

Return of products for warranty claims requires prior written authorization from Kenergy. Returned goods must be in their original condition and packaging. Shipping costs for returns are borne by the buyer unless otherwise agreed. Kenergy's liability under this warranty is limited to repair, replacement, or refund of the purchase price at Kenergy's option.
To the maximum extent permitted by applicable law, Kenergy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of production, loss of data, cost of substitute products, or business interruption, arising out of or in connection with the use or inability to use Kenergy products or the Site.
Kenergy's total liability for any claim arising from the sale or use of its products shall not exceed the purchase price paid for the specific product giving rise to the claim.

Any disputes arising from or relating to these Terms or the use of the Site or Kenergy products shall be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to the competent court in Taicang City, Suzhou, Jiangsu Province, China.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
